Welcome to AEK Business Solutions. These Terms & Conditions, in conjunction with our Data Privacy Framework, constitute the master legal agreement governing your engagement with our consultancy and managed services. By accessing our services or onboarding AEK-managed personnel, you agree to be bound by these terms under the jurisdictions of the Kingdom of Saudi Arabia.
1. Acceptance of Terms
By registering for or engaging with AEK Business Solutions, you accept these Terms & Policies in full. Our services are designed to provide strategic mobilization and elite talent management. If you do not agree with any part of these terms, you may cease the deployment of AEK resources immediately.
2. Managed Services & Resource Administration
AEK Business Solutions maintains full responsibility for the administrative, regulatory, and professional management of all deployed personnel. This includes the handling of all institutional requirements—such as healthcare, insurance, and professional compliance—ensuring a seamless integration into your corporate infrastructure without the burden of backend administrative oversight.
3. Investment & Financial Compliance
All professional fees and investment structures are exclusive of 15% Value Added Tax (VAT) and any other levies required by the Zakat, Tax and Customs Authority (ZATCA). Failure to maintain clear payment standing may result in the immediate suspension of resource deployment and executive support without liability to AEK.
4. Portfolio Rights & Strategic Marketing
To maintain the prestige of our regional network, AEK Business Solutions reserves the perpetual right to utilize the Client’s logo, name, and general project scope within our professional portfolio, digital platforms, and case studies. This right is granted upon engagement but may be modified or restricted if specifically agreed upon in writing prior to project commencement.
5. Data Sovereignty & Saudi PDPL Compliance
We prioritize the highest standards of data security. All data processing is conducted in strict alignment with the Saudi Personal Data Protection Law (PDPL) and SDAIA regulations. While the Client retains full ownership of their proprietary data, AEK is granted the necessary permissions to process such data solely to the extent required to fulfill and optimize our strategic mandates.
6. Intellectual Property
All strategic methodologies, frameworks, proprietary software, and branding developed by AEK Business Solutions remain the sole intellectual property of AEK. Clients are granted a limited, non-transferable license to utilize these assets for their intended internal business purposes for the duration of the engagement unless otherwise specified.
7. Limitation of Liability
To the maximum extent permitted under Saudi law, the total liability of AEK Business Solutions arising out of or in connection with any engagement—whether in contract, tort, or otherwise—shall be strictly limited to the total fees paid by the Client to AEK during the one (1) week preceding the event giving rise to the claim. AEK shall not be liable for any indirect, incidental, or consequential damages.
8. Governing Law & Dispute Resolution
Agreements are governed by and construed in accordance with the laws and regulations of the Kingdom of Saudi Arabia, as overseen by the Ministry of Commerce. Any disputes arising from this engagement that cannot be resolved amicably shall be subject to the exclusive jurisdiction of the competent Saudi courts, including the Riyadh Chamber where applicable.
9. Institutional Integrity & Termination
AEK Business Solutions reserves the right to suspend or terminate service at any time in cases of policy violation, ethical breaches, or non-payment of professional fees. This document constitutes the entire understanding between the parties regarding the use of AEK services.
